PLEASE READ THESE TERMS OF USE FOR AUNTIE ANNE’S REWARDS PROGRAM (SINGAPORE) CAREFULLY. BY ACCESSING OR USING THIS PROMOTIONAL PROGRAM, YOU AGREE TO BE BOUND BY THE TERMS DESCRIBED HEREIN AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT PARTICIPATE IN THIS PROGRAM.  

These Terms of Use apply to your access to, and participation in, the Auntie Anne’s Rewards program (“Auntie Anne’s Rewards”) which is operated by Chrisna Jenio Pte Ltd (“Auntie Anne’s”). These Terms of Use do not alter in any way the terms or conditions of any other agreement you may have with Auntie Anne’s for products, services or otherwise. Auntie Anne’s reserves the right to change, modify and/or terminate the Auntie Anne’s Rewards program and/or these Terms of Use or any policy, FAQ, or guideline pertaining to Auntie Anne’s Rewards at any time and in its sole discretion. Any changes or modifications will be effective immediately upon posting the revisions and you waive any right you may have to receive specific notice of such changes or modifications. Your participation in Auntie Anne’s Rewards confirms your acceptance of these Terms of Use and any such changes or modifications; therefore, you should review these Terms of Use and applicable policies from time to time to understand the terms and conditions that apply to Auntie Anne’s Rewards. If you do not agree to these Terms of Use, you must stop participating in Auntie Anne’s Rewards.  

Eligibility  

Auntie Anne’s Loyalty Rewards Program (“Rewards Program”) may only be used by individuals aged twelve (12) years or older. If the User is twelve (12) years or older but under the age of eighteen (18) years, User should review these Terms with User’s parent or guardian to make sure the User and User’s parent or guardian understand and agree to these Terms. Should the User’s parent or guardian not agree to these Terms, you (“User”) must stop participating in Auntie Anne’s Rewards. 

In order to use certain functions of this Rewards Program, User will need to register for an account. User agrees to (a) create only one account; (b) provide accurate, truthful, current and complete information when creating such account; (c) maintain and promptly update such account information; (d) maintain the security of such account by not sharing the account log-in with others and restricting access to the account; (e) promptly notify Auntie Anne’s if User discovers or otherwise suspects any security breaches relating to the Rewards Program; and (g) take responsibility for all activities that occur under the account and accept all risks of unauthorized access.  

User License  

Subject to these Terms, Auntie Anne’s grants the User a personal, non-exclusive, non-transferable, limited and revocable license to use the Rewards Program for personal and/or non-commercial use on any electronic device, such as but not limited to Apple iPhone, iPad or iPod Touch or any Android device (each a “Device”), owned or controlled by User. Any use of the Rewards Program in any other manner, including, without limitation, resale, transfer, modification or distribution of the Rewards Program or text, pictures, music, barcodes, video, data, hyperlinks, displays and other content associated with the Rewards Program (“Content”) including these Terms is prohibited. These Terms and the User License also govern any updates to, or supplements or replacements for, this Rewards Program unless separate terms accompany such updates, supplements or replacements, in which case the separate terms will apply.  

Any and all rights in the Rewards Program are and shall remain the exclusive property of Auntie Anne’s. Nothing in these Terms intends to transfer any such rights to, or to vest any such rights in, the User. Users are only entitled to the limited use of the Rewards Program granted to Users under these Terms. Auntie Anne’s reserves all rights not expressly granted under these Terms.  

The User is responsible for any costs associated with accessing and/or using the Rewards Program which may depend and vary on the terms and conditions of the User’s own mobile device service provider.  

Auntie Anne’s may, at any time and without giving notice to User, make changes, corrections and/or improvements to the Rewards Program, stop providing the Rewards Program or features of the Rewards Program to any Users, or create usage limits for the Rewards Program.  

Auntie Anne’s reserves the right to charge for the Rewards Program or the service(s) provided to User in accordance with these Terms (but Auntie Anne’s will give Users the opportunity to decide whether or not to continue to use the Rewards Program / such service(s) and accept such charges).  

These Terms are effective until terminated. User may terminate these Terms at any time by discontinuing the usage of the Rewards Program and destroying all copies of the Rewards Program in his/her possession.  

Auntie Anne’s may suspend or terminate these Terms at any time by giving User reasonable prior notice. Auntie Anne’s need not, however, give User any notice where Auntie Anne’s has serious grounds for considering that immediate termination is required (e.g. if Auntie Anne’s reasonably suspects fraudulent or unauthorized use of the Rewards Program). The termination of these Terms is without prejudice to the rights of Auntie Anne’s accrued prior to termination.  

Email Communications, Text Communications and Push Notifications  

If a User signs up for an Auntie Anne’s account using the Rewards Program, the User will be given the opportunity to opt-in or opt-out to receive promotional email communications from Auntie Anne’s (“Email Communications”). Thereafter, the User may opt-in or opt-out of receiving Email Communications at any time by adjusting the User’s profile settings in the User’s Auntie Anne’s account via www.order.auntieannesg.com.   

The sending of communications and Push Notifications is described further in, and will be governed by, the Auntie Anne’s Privacy Policy outlined below. 

User Information  

Some functionality of the Rewards Program, including online ordering and payments, may require the transmission of information provided by the User including but not limited to user names, addresses, e-mail addresses, financial information (such as credit card numbers). In order to use certain Rewards Program functionality, such as and location-based services and technology, the User must either: (a) enable “location services” in the Rewards Program; and/or (b) set the permissions in his/her mobile device to allow communication of such information. If the User uses such Rewards Program functionality, the User consents to the transmission of User Information to Auntie Anne’s, its agents and/or service providers and authorizes Auntie Anne’s, its agents and/or service providers to record, process and store such User Information as necessary for the Rewards Program functionality and for purposes described in and in accordance with the Auntie Anne’s Privacy Policy.  

The User is solely responsible for the confidentiality and security of any User Information transmitted from or stored on a Device for purposes of the Rewards Program, for all transactions and other activities undertaken with any Auntie Anne’s Program. Auntie Anne’s shall not be responsible for any losses arising out of the loss or theft of User Information transmitted from or stored on a Device or from unauthorized or fraudulent transactions associated with the Rewards Program.  

Unacceptable Use  

Use by the User of the Rewards Program and any Content and any User Information transmitted in connection with the Rewards Program is limited to the contemplated functionality. The User agrees that his / her use of the Rewards Program and any Content must comply with these Terms and the Auntie Anne’s Policies. In no event may the Rewards Program be used (whether by the User or a third party allowed by the User) in a manner that (a) harasses, abuses, stalks, threatens, defames or otherwise infringes or violates the rights of any other party (including but not limited to rights of publicity or other proprietary rights); (b) is unlawful, fraudulent or deceptive; (c) uses technology or other means to access the Rewards Program, Auntie Anne’s Website or Content that is not authorized by Auntie Anne’s; (d) uses or launches any automated system, including without limitation, “robots”, “spiders”, or “offline readers”, to access the Rewards Program, Auntie Anne’s Website or Content; (e) attempts to introduce viruses or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (f) attempts to gain unauthorized access to Auntie Anne’s computer network or user accounts; (g) encourages conduct that would constitute a criminal offense, or that gives rise to civil liability; (h) violates these Terms; (i) attempts to damage, disable, overburden, or impair Auntie Anne’s servers or networks; (j) impersonates any person or entity or otherwise misrepresents User’s identity or affiliation with another person or entity; (k) fails to comply with applicable third party terms; (l) makes and/or distribute copies of the Rewards Program; (m) attempts to copy, reproduce, alter, modify, reverse engineer, disassemble, decompile, transfer, exchange or translate the Rewards Program; or (n) creates derivative works of the Rewards Program of any kind whatsoever (collectively “Unacceptable Use”). Auntie Anne’s reserves the right, in its sole discretion, to terminate any User License, terminate any User’s participation, remove Content or assert legal action with respect to Content or use of the Rewards Program, including that Auntie Anne’s reasonably believes is or might be in violation of these terms of Unacceptable Use and/or Auntie Anne’s Policies. Auntie Anne’s’ failure or delay in taking such actions does not constitute a waiver of its rights to enforce these Terms. Users agree not to use the Rewards Program while driving, including, but not limited to, placing orders through the website.  

Indemnification  

At Auntie Anne’s’ request, the User agrees to defend, indemnify, and hold harmless (i) Auntie Anne’s, its parent and other affiliated companies (collectively, “Auntie Anne’s Group”), and the Auntie Anne’s Group’s employees, officers, directors, contractors, service providers, advisers and consultants and (ii) Auntie Anne’s Inc, from and against any and all claims, suits, damages, costs, lawsuits, fines, penalties, liabilities and/or expenses (direct and/or indirect, and including legal fees on a full indemnity basis) that arise from or is in connection with the User’s use or misuse of the Rewards Program, violation of these Terms or violation of any rights of a third party. Auntie Anne’s reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by the User, in which event the User will cooperate in asserting any available defenses. In the event of any third party claim that the Rewards Program or User’s possession and use of the Rewards Program infringes that third party’s intellectual property right, Auntie Anne’s, Auntie Anne’s Inc and their affiliated companies, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.  

No Warranties    

AUNTIE ANNE’S IS PROVIDING THE REWARDS PROGRAM TO THE USER “AS IS” AND THE USER IS USING THE REWARDS PROGRAM AT HIS / HER OWN RISK. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, AUNTIE ANNE’S DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW, TRADE USAGE, OR OTHERWISE, INCLUDING ANY WARRANTIES THAT THE REWARDS PROGRAM IS MERCHANTABLE, OR RELIABLE, OR ACCURATE, OR FIT FOR A PARTICULAR PURPOSE OR NEED, OR OF SATISFACTORY QUALITY, OR NON-INFRINGING OR FREE OF DEFECTS, VIRUSES OR ERRORS, OR ABLE TO OPERATE ON AN UNINTERRUPTED BASIS, OR THAT THE USE OF THE REWARDS PROGRAM BY THE USER IS IN COMPLIANCE WITH LAWS APPLICABLE TO THE USER, OR THAT USER INFORMATION OR RELATED DATA TRANSMITTED IN CONNECTION WITH THE REWARDS PROGRAM (INCLUDING AS PART OF ONLINE PAYMENT) WILL BE SUCCESSFULLY, ACCURATELY OR SECURELY TRANSMITTED OR RECEIVED, OR THAT ANY PARTICULAR ITEM ORDERED WILL BE AVAILABLE.  

Auntie Anne’s will use reasonable efforts to make the Rewards Program available at all times. However, User acknowledges that the Rewards Program is provided over the Internet and mobile networks and so the quality and availability of the Rewards Program may be affected by factors outside Auntie Anne’s’ reasonable control. Auntie Anne’s does not accept any responsibility whatsoever for unavailability of the Rewards Program, or any difficulty or inability to download or access content or any other communication system failure which may result in the Rewards Program being unavailable.  

No Liability  

TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL (I) AUNTIE ANNE’S and its affiliated companies (INCLUDING THEIR employees, officers, directors, contractors, service providers, ADVISORS and consultants) and (ii) Auntie Anne’s Inc AND THE AUNTIE ANNE’S GROUP OF COMPANIES: (A) BE LIABLE TO THE USER WITH RESPECT TO USE OF THE REWARDS PROGRAM, INCLUDING WITHOUT LIMITATION; AND (B) BE LIABLE TO THE USER FOR ANY DIRECT LOSSES, DAMAGES FOR LOSS OF GOODWILL, LOSS OF INCOME, LOST PROFITS, LOSS, THEFT OR CORRUPTION OF USER INFORMATION, THE INABILITY TO USE THE REWARDS PROGRAM OR ANY OF ITS FEATURES OR DEVICE FAILURE OR MALFUNCTION, INDIRECT LOSSES, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES.  

THE USER’S SOLE REMEDY IS TO CEASE THE USE OF THE REWARDS PROGRAM. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT (BUT SUBJECT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW) SHALL THE AGGREGATE LIABILITY OF (I) AUNTIE ANNE’S and its affiliated companies AND (II) AUNTIE ANNE’S INC AND THE AUNTIE ANNE’S GROUP OF COMPANIES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHER THEORY, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE REWARDS PROGRAM EXCEED ANY COMPENSATION THE USER PAYS, IF ANY, TO AUNTIE ANNE’S FOR ACCESS TO OR USE OF THE REWARDS PROGRAM DURING THE SIX MONTHS PERIOD IMMEDIATELY PRIOR TO THE EVENT GIVING RISE TO SUCH LIABILITY. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, NOTHING IN THESE TERMS SHALL EXCLUDE OR RESTRICT AUNTIE ANNE’S AND ITS AFFILIATED COMPANIES’ LIABILITY FOR DEATH OR PERSONAL INJURY RESULTING FROM THEIR NEGLIGENCE.  

Marks, Rewards Program and Content  

“Auntie Anne’s”, “Chrisna Jenio Pte Ltd”, the Auntie Anne’s logo, and other Auntie Anne’s trademarks, service marks, graphics and logos used in connection with the Rewards Program are trademarks or registered trademarks of Auntie Anne’s Inc (collectively “Auntie Anne’s Marks”). Other trademarks, service marks, graphics and logos used in connection with the Rewards Program are the trademarks of their respective owners (collectively “Third Party Marks”). The Auntie Anne’s Marks and Third Party Marks may not be copied, imitated or used, in whole or in part, without the prior written permission of Auntie Anne’s or the applicable trademark holder. The Rewards Program and the Content are protected by copyright, trademark, patent, trade secret, international treaties, laws and other proprietary and intellectual property rights, and also may have security components that protect digital information only as authorized by Auntie Anne’s or the owner of the Content.  

Third Party Content, Rewards Programs, Products and Services (including Advertising and Promotions)  

Auntie Anne’s may provide third party content in the Rewards Program (including embedded content) or links to third party content, Rewards Programs, products and services, including advertisements and promotions (collectively, “Third Party Content”) as a service to those interested in this information. Auntie Anne’s does not control, endorse or adopt any Third Party Content, including that the inclusion of any link does not imply affiliation, endorsement or adoption by Auntie Anne’s of any Rewards Program or any information contained therein, and can make no guarantee as to its accuracy or completeness. User acknowledges and agrees that Auntie Anne’s is not responsible or liable in any manner for any Third Party Content and undertakes no responsibility to update or review such Third Party Content. User agrees to use such Third Party Content contained therein at User’s own risk. When User uses other Rewards Programs via Third Party Content, or participate in promotions or business dealings with third parties, User should understand that Auntie Anne’s’ terms and policies no longer govern, and that the terms and policies of those third party Rewards Programs will now apply. User should review the applicable terms and policies, including privacy and data gathering practices, of any Rewards Program to which User navigates from the Rewards Program.  

Governing Law and Jurisdiction  

These Terms are governed by the laws of Singapore, without regard to conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods shall have no applicability. The User irrevocably consents to the exclusive jurisdiction of the courts of Singapore for purposes of any legal action arising out of or related to the use of the Rewards Program or these Terms.  

Changes  

Auntie Anne’s reserves the right to change or modify these Terms or any other Auntie Anne’s Policies in connection with or relating to the use of the Rewards Program at any time and at its sole discretion by posting revisions on any of the Auntie Anne’s Websites. Continued use of the Rewards Program following the posting of these changes or modifications will constitute acceptance of such changes or modifications.  

Assignment  

Auntie Anne’s may transfer all or part of these Terms without such transfer being considered a change to these Terms, by giving notice to User. The company or other entity to which Auntie Anne’s transfer these Terms will have the same rights and obligations as Auntie Anne’s did before the transfer and Auntie Anne’s will ensure that such company/entity agrees in writing to be bound by the terms and conditions of these Terms so that User’s rights under these Terms are not detrimentally affected and Auntie Anne’s will then be released from all liability.  

Entire Agreement; Construction  

These Terms are the complete and exclusive statement of agreement between User and Auntie Anne’s, and supersedes all prior proposals and all other agreements in respect of the subject matter of this agreement. If any provision of these Terms is illegal or unenforceable, such provision will be deleted from these Terms, and the remaining terms will not be affected. Headings are for convenience of reference only and will in no way affect the interpretation of these Terms. Auntie Anne’s failure to exercise or to enforce any right or provision of these Terms will not constitute a waiver of such right or provision, and any waiver of any provision of these Terms will be effective only if in writing and signed by Auntie Anne’s.  

Third Party Rights  

These Terms do not create any right under the Contracts (Rights of Third Parties) Act, and is not enforceable and not intended to be enforceable by any person who is not a party to it. 

Privacy Policy 

This privacy policy (“Policy”) describes how Chrisna Jenio Pte. Ltd. and its parent and other affiliated companies (“Auntie Anne’s”) collect, use and disclose personal information of customers through our websites and online services, including www.auntieannesg.com, www.order.auntieannesg.com, and other Auntie Anne’s s owned or operated websites and online services that link to this Policy (collectively, the “Sites”), through our programs and in our physical stores (“Services”). This Policy does not apply to websites and services that display or link to different privacy statements. Websites and services co-branded with other partners may display or link to a joint privacy statement or separate privacy statements of our partners in addition to our Policy. By accessing the Sites or utilising the Services, you hereby consent to the use of your information, including your personal information, in the manner described in this Policy. Without limiting the generality of the foregoing, you authorise Auntie Anne’s to transmit your information outside of Singapore in the manner and for the purposes described in this Policy. 

What Types of Information Does Auntie Anne’s Collect? 

Personal Information that may be collected by Auntie Anne’s may include: 

• Name, birthday, gender, mobile phone number, postal address, and e-mail address.
• Financial account information, such as credit card number and other payment information. 
• If you buy goods at our stores or through our programs or otherwise – what you buy, where you buy, how frequently you buy, rewards you earn, and reward you redeem. 
• If you use our ordering website – information such as your device ID, your location and stores near you and visited by you may be collected. 
• If you take a survey or interact with us in various other ways – demographics information, your comments, feedback, questions or suggestions, and information about subjects that may interest you. 

We may automatically collect online use information when you visit our Sites or use our Services. This information may include information about your Internet service provider, your operating system, browser type, domain name, Internet protocol (IP) address, your access times, the website that referred you to us, the Web pages you request, and the date and time of those requests. Our collection of online use information may involve the use of cookies and Web beacons. Cookies are small data files stored on your hard drive by a website. Among other things, cookies help us improve our Sites and your experience. We use cookies to see which areas and features are popular and to count visits to our Sites. Web beacons are electronic images that may be used on our Sites or in our emails. We use Web beacons to deliver cookies, count visits, understand usage and campaign effectiveness and to tell if an email has been opened and acted upon. 

**How Does Auntie Anne’s Use Information About You?** 

Auntie Anne’s may use information about you for purposes described in this Policy or disclosed to you on our Sites or with our Services. For example, we may use information about you: 

• To process and manage your purchase and use of Auntie Anne’s products and services, including your accounts and program participation, your use of the Sites. 
• To respond to your customer service inquiries, post your comments or statements on any blog or other online forum maintained on our Sites, or take other actions in response to your inquiries or other Site activities. 
• To create personalized promotions by combining your personal information with non personal information about you, such as the amounts and types of purchases you make or any benefits you receive through our programs. 
• To communicate with you by post, telephone, email, SMS, Auntie Anne’s account (including but not limited to any in-app messaging services) about your orders or purchases, your services, accounts and program participation, a contest or sweepstakes you have entered, and your requests for information. 
• To communicate with you by post, telephone, email, SMS, social media and engagement platforms, and/or through your Auntie Anne’s account (including but not limited to any in-app messaging services) about our brands, products, events or other promotional purposes, including co-branded offers and affiliate and partner offers. 
• For internal operations, including troubleshooting, data analysis, testing, research and service improvement. 

If you have registered as a member, the information you have provided us may be used to send you marketing promotions/offers and exclusive member events by post, telephone, email, SMS and/or through your Auntie Anne’s account app (including but not limited to any in-app messaging services) about our brands, products, events or other promotional purposes, including co-branded offers and affiliate and partner offers.  

**Does Auntie Anne’s Share Personal Information with Third Parties?** 

Auntie Anne’s may share or disclose your personal information in limited ways: 

• Without parent and other affiliated entities. 
• With agents, vendors or services providers who provide support services to us (such as credit card processors or other payment services providers, mailing houses or website hosts) and/or other third parties who help us market our products and services and assist us by communicating (directly or indirectly) with our customers (such as email vendors and social media and engagement platforms). These third parties may use information about you to perform their functions on our behalf.
• If you participate in any blog or other online forum on our Sites, any personal information that you post on our Sites may be shared with other forum participants and Site visitors. 
• In the event of a merger, acquisition, financing, or sale of assets or any other situation involving the transfer of some or all of our business assets, Auntie Anne’s s may disclose personal information to those involved in the negotiation or transfer. 

Auntie Anne’s may also provide and/or transfer any data that it collects from you to its parent, subsidiary, associated and affiliated companies, or to any agent, contractor or third party service provider located outside of Singapore which provides administrative, data processing, computer or other services to Auntie Anne’s, to enable Auntie Anne’s to carry out the purposes permitted under this Policy.  

We may also share or disclose your personal information, including the content of your communications: 

• To comply with law or to respond to legal or regulatory processes or lawful requests, including enquiries from governmental and regulatory agencies. 
• To enforce our agreements, corporate policies, and terms of use. 
• To protect the rights, property, reputation, safety or security of Auntie Anne’s, our employees, agents, customers, and others. 

We may also share aggregated or anonymized information that does not directly identify you. 

**How is Personal Information Secured?** 

Auntie Anne’s takes reasonable steps to maintain appropriate physical, technical and administrative security to help prevent loss, misuse, unauthorized access, disclosure or modification of personal information. 

Where Auntie Anne’s provides and/or transfers any data that it collects from you to its parent, subsidiary, associated and affiliated companies, or to any agent, contractor or third party service provider, located outside of Singapore, Auntie Anne’s confirms that any of the above-mentioned parties to whom your personal data is disclosed or transferred are, or shall be bound by legally enforceable obligations to provide a standard of protection to personal data comparable to the standard of protection as set out in the Personal Data Protection Act 2012 and Auntie Anne’s will use its best endeavours to ensure that each such party maintains appropriate physical, technical and organizational security measures to protect your personal data against tampering and unauthorized access by third parties. 

While Auntie Anne’s uses reasonable efforts to protect personal data in its possession or under its control, the transmission of data over the Internet or any other public network may be subject to loss, interception and misuse. 

**Privacy Policy Updates** 

We may update this privacy policy from time to time. When we do so, we will post the new privacy policy on this page and change the date at the top of the policy. 

We encourage you to check the date of our privacy policy when you visit this Site for any updates or changes. We will notify you of any modified versions of the privacy policy that might materially affect the way we use or disclose your personal information
